These Terms, together with our Privacy Policy and Refund Policy, govern your use of the ProxiSuite website and products, including ProxiField, ProxiField Plus, ProxiMed, ProxiSchool, and ProxiMatch. By purchasing, downloading, or using any ProxiSuite product you agree to them. If you do not agree, do not use the products. You must be able to form a binding contract to use ProxiSuite.
ProxiSuite is a family of territory and account tools built around one proximity engine. ProxiField is a set of offline tools you download and run locally. The hosted lines run at proxisuite.com behind a login on a subscription basis. Some lines, including ProxiMed and ProxiSchool, are offered on an early-access basis, and features and availability may change as products evolve.
Hosted products require an account created through our identity provider. You are responsible for keeping your credentials secure and for all activity under your account, and for providing accurate account information. Tell us at support@proxisuite.com if you believe your account has been accessed without your permission.
Purchases are handled by Gumroad, which processes payment and shares confirmation details with us. We never receive or store your full card number. Subscriptions recur until you cancel through Gumroad, which stops future billing and keeps access through the end of the current period. Prices may change with notice, and you are responsible for any applicable taxes. Refunds are governed by our Refund Policy.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the products for your own sales and territory work. You may not resell, redistribute, sublicense, reverse-engineer, scrape, or overload the products, use them for unlawful purposes, or use their outputs to make eligibility decisions about individuals that would require compliance with the Fair Credit Reporting Act or similar laws. ProxiSuite is a sales-planning tool and is not a consumer reporting agency.
You keep ownership of the account lists, contracts, postal codes, and other inputs you upload or enter. You grant us a limited license to store and process that content solely to provide the service to you. We store it isolated to your account, we do not sell it, and we do not use it to build products for others. You are responsible for having the right to upload what you upload. You can request deletion at any time, and we remove your content on account closure as described in the Privacy Policy.
ProxiSuite draws on public data from sources such as CMS, the Census Bureau, HRSA, IPEDS, NPPES, and Open Payments. That data is public, may contain errors or gaps, and is not independently verified by us. ProxiScores, segments, and reports are informational sales-planning signals only. They are not medical, clinical, legal, financial, investment, or compliance advice, they are not a rating of any organization’s quality of care or performance, and they are not a consumer report. Verify anything before you rely on it.
ProxiSuite uses public federal and state data but is not affiliated with, endorsed by, or sponsored by CMS, the Census Bureau, HRSA, IPEDS, or any government agency.
ProxiSuite and its licensors own the software, the proximity and scoring engines and their methodology, the site design, and the ProxiSuite and related marks. Your license does not transfer any of these rights. Feedback you send us may be used to improve the products without obligation to you.
The products and all data and outputs are provided on an as-is and as-available basis, without warranties of any kind, express or implied, including accuracy, completeness, reliability, uptime, merchantability, or fitness for a particular purpose, to the maximum extent permitted by law.
To the maximum extent permitted by law, ProxiSuite is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the products is limited to the amount you paid us for the product in the twelve months before the claim, or one hundred US dollars, whichever is greater. Some jurisdictions do not allow certain limitations, so parts of this may not apply to you.
You agree to indemnify and hold ProxiSuite harmless from claims arising out of your misuse of the products, your violation of these Terms, or content you upload that you did not have the right to upload.
Either party may end the arrangement at any time. You can cancel through Gumroad and stop using the products. We may suspend or end access for violations of these Terms or where required by law. On termination your license ends and we delete your stored content within a reasonable period, except where retention is legally required.
We may update these Terms as the products evolve. We will update the date above and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them.
These Terms are governed by the laws of the State of South Carolina, USA, without regard to conflict-of-law rules. Before formal action, both sides agree to first try to resolve any dispute informally by contacting support@proxisuite.com.
